DEXAiM Reseller Program Terms of Service

Effective Date: 01/01/2025

These Reseller Program Terms of Service ("Agreement") govern your participation in the DEXAiM Reseller Program ("Program"). By participating, you agree to be bound by this Agreement, our general Terms of Service, and all applicable laws and regulations.

1. Eligibility & Enrollment To enroll in the Program, you must:

  • Be at least 18 years old.

  • Complete the reseller application process and receive written approval from DEXAiM.

  • Operate in a lawful manner and comply with regional regulations.

2. Reseller Responsibilities As a DEXAiM Reseller, you agree to:

  • Provide full customer support to your clients. DEXAiM is not responsible for end-user support.

  • Market products in a truthful, non-deceptive manner.

  • Not impersonate DEXAiM or present yourself as an official representative beyond your reseller status.

  • Remain in good standing with all financial and operational responsibilities.

3. Pricing & Payments

  • You will receive discounted rates from DEXAiM for resale.

  • You may set your own retail prices.

  • All purchases made with DEXAiM for resale are final. No refunds will be provided to resellers under any circumstances.

4. Chargebacks & Disputes

  • You, the reseller, are solely responsible for all chargebacks, payment disputes, and fraud initiated by your customers.

  • If a chargeback or reversal occurs on your account, DEXAiM reserves the right to terminate your access and seek repayment for the full amount, plus any associated fees.

5. License Distribution

  • Each product or license sold must follow DEXAiM's activation and delivery protocol.

  • You may not resell a single license to multiple users or modify the loader or software in any way.

6. Branding & White Labeling

  • White labeling may be available on select products by prior agreement.

  • If not white-labeled, you must clearly identify your business as a third-party reseller of DEXAiM.

7. Termination

  • DEXAiM may suspend or terminate your reseller status at any time for violation of these terms, fraud, misuse, or behavior deemed harmful to our brand.

  • Upon termination, all remaining license access may be revoked without refund.

8. Limitation of Liability

  • DEXAiM shall not be liable for any losses, legal claims, or damages arising from your use of the Program or resale activities.

  • You agree to indemnify DEXAiM from any claims related to your customers or marketing practices.

9. Confidentiality

  • Any non-public information shared with you regarding pricing, backend tools, or internal communications must remain confidential.

10. Modification of Terms

  • DEXAiM may update this Agreement at any time. It is your responsibility to review updates regularly.

 

By participating in the DEXAiM Reseller Program, you affirm that you have read, understood, and agreed to all of the terms above.
